A highly reputable client is seeking a skilled Corporate Attorney with experience in general corporate transactions, including Mergers & Acquisitions (M&A), to join their legal team. This is an exciting opportunity to work on a diverse range of complex transactions for both public and private companies in a dynamic and fast-paced environment.
Key Responsibilities:
- Advise clients on a broad range of corporate transactions, including mergers and acquisitions, joint ventures, financing arrangements, commercial agreements, and corporate governance matters.
- Work closely with senior attorneys and clients to develop strategic solutions to complex legal and business challenges.
- Draft, review, and negotiate key corporate documents, such as purchase agreements, partnership agreements, financing documents, and contracts.
- Manage M&A transactions, including structuring deals, conducting due diligence, and ensuring compliance with applicable laws.
- Provide legal counsel on matters involving both public and private companies, addressing regulatory, securities, and compliance issues.
- Mentor and support junior associates in their professional development.
Qualifications:
- JD from a top-tier law school.
- 3+ years of experience in general corporate transactions and M&A, with a strong background in handling deals for both public and private companies.
- Strong understanding of corporate governance, securities law, and other regulatory frameworks.
- Excellent legal research, drafting, and communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Strong analytical, problem-solving, and negotiation skills.
- Proven ability to build and maintain strong client relationships.
