We are partnering with a fast-growing international diagnostics company to recruit a Senior Corporate Secretarial Executive. This is a strategic role for an experienced professional who thrives in a dynamic, multi-jurisdictional environment and is passionate about building robust governance frameworks.
You'll be responsible for leading corporate secretarial and governance matters across Singapore and Hong Kong entities, including supporting pre-IPO readiness and listed company compliance. This is an excellent opportunity for someone looking to deepen their exposure to cross-border regulatory frameworks and work closely with senior leadership and board-level stakeholders.
Key Responsibilities:
- Manage corporate secretarial functions for Singapore and Hong Kong entities, including listed or pre-IPO companies.
- Oversee statutory filings, board and shareholder meetings, and maintenance of corporate records.
- Draft and review complex corporate documentation, including resolutions, board papers, and transaction-related materials.
- Ensure compliance with Singapore Companies Act, Hong Kong Companies Ordinance, and HKEX Listing Rules.
- Support governance documentation and regulatory submissions, including disclosures and announcements.
- Liaise with external corporate service providers and legal counsel.
- Assist with incorporation and administration of regional subsidiaries and offshore entities.
- Contribute to broader corporate compliance and governance initiatives.
Ideal Candidate:
- 8-10 years of corporate secretarial experience with regional exposure.
- ICSA-qualified or equivalent, with strong technical knowledge of Singapore and Hong Kong regulatory frameworks.
- Experience supporting listed or pre-IPO entities, ideally with HKEX exposure.
- Strong drafting, communication, and stakeholder management skills.
- Proficient in English and Mandarin to liaise with regional stakeholders.
- Highly organized, proactive, and able to manage multiple priorities.
