Job Title: Commercial Lawyer - Mining Industry

Location:

Tucson, AZ (Hybrid onsite schedule)

About the Role

We are seeking an experienced lawyer with strong commercial agreements and transactional experience to support operations and strategic initiatives within the mining industry. This role will focus on drafting, negotiating, and advising on a broad range of commercial and project‑related agreements across the lifecycle of mining operations.

The ideal candidate brings a practical, business‑oriented approach and is comfortable working closely with internal stakeholders, joint venture partners, and external counsel in a fast‑paced, technically complex environment.


Key Responsibilities

  • Draft, review, negotiate, and advise on a wide range of commercial agreements, including:
    • Mineral and land access agreements
    • Joint ventures and strategic alliances
    • Offtake, supply, and service agreements
    • EPC, construction, and logistics contracts
    • Confidentiality, consulting, and framework agreements
  • Support transactional matters such as acquisitions, divestments, farm‑ins/farm‑outs, and project financings.
  • Provide legal advice on contractual risk allocation, liability, indemnities, and dispute management.
  • Work closely with commercial, technical, procurement, and project teams to support mining and development activities.
  • Manage external counsel and support due diligence for transactions and major projects.
  • Contribute to the development and improvement of contract templates, playbooks, and internal processes.
  • Monitor and advise on legal issues impacting commercial operations within the mining sector.

Qualifications & Experience

  • Law degree and admission to practice in a relevant jurisdiction.
  • 3-5+ years of post‑qualification experience (law firm and/or in‑house).
  • Demonstrated experience advising on commercial agreements and transactions, preferably within the mining, natural resources, energy, or infrastructure sectors.
  • Strong drafting and negotiation skills with the ability to manage complex, multi‑party agreements.
  • Sound understanding of mining project structures, joint ventures, and supply chains.
  • Ability to work independently and manage multiple matters simultaneously.
  • Strong commercial judgment and stakeholder management skills.
