In-House Associate General Counsel
A privately held renewable energy company is seeking an In-House Counsel to support its expanding legal operations. The organization focuses on the development and operation of infrastructure projects that convert agricultural waste into renewable energy, including biogas-to-electricity systems and renewable natural gas facilities. Operating in a fast-paced, highly regulated sector, the company is at the forefront of sustainable energy innovation.
This position reports directly to the General Counsel and provides legal support across a broad range of areas, including commercial transactions, regulatory compliance, litigation oversight, real estate, and corporate governance. The role requires a versatile attorney with strong transactional experience, excellent judgment, and the ability to navigate complex legal frameworks relevant to energy and environmental law.
Responsibilities:
- Draft, review, and negotiate commercial agreements, including EPC contracts, vendor/service agreements, joint venture documentation, and NDAs.
- Advise project teams on contract structuring, risk allocation, and legal strategy throughout the project lifecycle.
- Monitor and interpret federal, state, and local regulations affecting RNG production, environmental permitting, and energy market participation.
- Interface with regulatory agencies and provide guidance on permitting, compliance reporting, and environmental credit programs (e.g., LCFS, RFS).
- Manage outside counsel in litigation, arbitration, and administrative proceedings; oversee strategy, budgeting, and coordination.
- Conduct internal investigations and assist with responses to legal claims and regulatory inquiries.
- Draft and negotiate real property agreements, including leases, easements, purchase/sale agreements, and land use documents; support title review and due diligence.
- Advise on zoning, permitting, and land use compliance for energy infrastructure projects.
- Assist with entity formation, maintenance, and recordkeeping for a large portfolio of legal entities.
- Draft intercompany agreements and oversee entity restructurings, mergers, conversions, and dissolutions.
- Maintain ownership structures, cap tables, and governance documentation; ensure compliance with applicable laws.
- Support M&A transactions, including drafting NDAs, LOIs, purchase agreements, disclosure schedules, and closing documents.
- Conduct legal due diligence and assist with post-acquisition integration, including employment and transition services agreements.
- Prepare board and shareholder resolutions related to corporate actions and acquisitions.
Qualifications:
- Juris Doctor (J.D.) from an accredited law school.
- Active membership in the California Bar or eligibility to register as in-house counsel.
- 5+ years of legal experience, with a strong background in commercial transactions and regulatory matters.
- Experience in renewable energy project development is highly desirable.
- Familiarity with LCFS, RFS, and environmental credit markets preferred.
- Proven ability to manage multiple projects and collaborate across departments.
- Excellent communication and interpersonal skills.
