Corporate M&A / Private Equity Associate Attorney (1-3 Years)

A highly regarded law firm is seeking a Corporate M&A Associate with 1-3 years of experience to join its growing transactional practice. This is an excellent opportunity for an attorney looking to build a sophisticated corporate practice while working closely with experienced dealmakers on mergers and acquisitions, securities matters, and a broad range of business transactions.

Corporate M&A Associate Responsibilities:

  • Assist in the representation of private and public companies, private equity sponsors, investors, and other stakeholders in mergers, acquisitions, divestitures, joint ventures, and other strategic transactions.
  • Conduct due diligence reviews and assist in drafting, reviewing, and negotiating purchase agreements, disclosure schedules, and ancillary transaction documents.
  • Support corporate governance, securities compliance, and general corporate counseling matters.
  • Participate in transaction structuring, legal analysis, and client communications throughout all stages of a deal.
  • Collaborate with attorneys across multiple practice groups to provide comprehensive legal advice to clients.

Corporate M&A Associate Qualifications:

  • J.D. from an accredited law school with strong academic credentials.
  • 1-3 years of experience in mergers & acquisitions, securities, corporate law, or another transactional practice area.
  • Candidates may have gained relevant experience through law firm practice, judicial clerkships, internships, externships, law school clinics, coursework, or other transactional-focused legal experience.
  • Demonstrated interest in corporate transactions and business law.
  • Strong drafting, analytical, organizational, and communication skills.
  • Ability to manage multiple matters in a fast-paced, team-oriented environment.
  • Admission to the applicable state bar or eligibility to obtain admission.
