We are seeking a highly motivated and experienced Corporate Counsel to join our in-house legal team, with a primary focus on fund formation and transactional matters. This role will support the structuring, formation, and ongoing operations of investment funds, as well as provide legal guidance on a wide range of corporate transactions. The ideal candidate will have a strong background in private fund formation, corporate law, and transactional work, and will thrive in a fast-paced, collaborative environment.
Key Responsibilities:
- Lead and manage legal aspects of fund formation, including drafting and negotiating fund documents (e.g., LPAs, subscription agreements, PPMs).
- Advise on fund structuring, regulatory compliance, and investor relations matters.
- Support capital raising activities and investor onboarding processes.
- Provide legal support for M&A, joint ventures, strategic investments, and other corporate transactions.
- Draft, review, and negotiate a variety of commercial agreements, including NDAs, service agreements, and vendor contracts.
- Collaborate with internal stakeholders including finance, compliance, and operations teams to ensure legal alignment with business objectives.
- Manage relationships with external counsel and coordinate legal due diligence and closings.
- Monitor changes in relevant laws and regulations and advise on potential impact to the business.
Qualifications:
- Juris Doctor (JD) from an accredited law school; admission to a U.S. state bar
- 7+ years of legal experience, with a strong emphasis on fund formation and transactional work, preferably in a law firm or in-house legal department.
- Deep understanding of private equity, venture capital, hedge funds, or other alternative investment vehicles.
- Excellent drafting, negotiation, and communication skills.
- Ability to manage multiple projects and priorities in a dynamic environment.
- Strong business acumen and collaborative mindset.
Preferred Qualifications:
- Experience working in a financial services or asset management firm.
- Familiarity with international fund structures and cross-border transactions.
- Knowledge of tax considerations in fund formation and structuring.
