A promenient client in the Columbus market is seeking an attorney to join their expanding Corporate team. The ideal candidate is an attorney who is motivated, detail-oriented, and thrives in a fast-paced corporate environment, having experience with M&A, governance, and other transactional work. In this role, you will be given direct mentorship from senior leaders, a pathway for advancement, and the opportunity to work on complex transactional matters, while being a part of a highly collaborative team. This opportunity sits out of Columbus, OH.

Responsibilities:

  • Advise on corporate and transactional matters, ensuring compliance with applicable laws and regulations.
  • Draft, review, and negotiate a wide range of contracts, including purchase agreements, shareholder agreements, and governance documents.
  • Support mergers and acquisitions, including due diligence, structuring, and closing processes.
  • Assist with entity formation and organizational structuring, providing strategic guidance to optimize business operations.
  • Develop and maintain corporate governance frameworks, including board resolutions and compliance policies.

Qualifications:

3+ years of experience in corporate law or transactional work, with proven skills in one or more of the following areas:

  • Mergers & acquisitions
  • Entity formation and organizational structuring
  • Corporate governance and compliance
  • Drafting and negotiating contracts
