Commercial Counsel @ AI Infrastructure
Our client is a privately held AI Infrastructure company seeking a Commercial Counsel to support its global business operations and strategic growth initiatives. This attorney will work closely with business, finance, product, and leadership teams to negotiate complex commercial agreements and develop scalable contracting processes.
This role reports into the General Counsel and will work closely with senior leadership across the business.
Responsibilities
- Draft, review, and negotiate a broad range of commercial agreements.
- Support strategic partnerships and business transactions.
- Partner closely with revenue-generating teams on customer-facing transactions.
- Advise stakeholders on risk assessment, contract strategy, and negotiation approaches.
- Support legal matters relating to procurement, vendor relationships, and operational functions.
- Develop and maintain contract templates, playbooks, and legal processes.
- Collaborate with technical and product stakeholders on technology-related matters.
- Assist with other general corporate and legal matters as needed.
- Manage outside counsel where appropriate.
Qualifications
- J.D. and active U.S. bar membership.
- 5+ years of relevant legal experience.
- Prior Big Law experience required.
- In-house commercial experience preferred.
- Significant experience negotiating sophisticated commercial agreements.
- Experience supporting AI Infrastructure/Data Center/Semiconductor technology businesses preferred.
- Strong business judgment and practical problem-solving skills.
- Ability to independently manage transactions in a fast-paced environment.
On Site Expectations
This role is expected to be 4 days per week . Office is near San Jose.
Compensation
$200k to $250k base (depending on experience) + bonus + equity
