Asset Securitization Associate
A leading legal team is seeking a talented and motivated Associate Attorney to join its Collateralized Loan Obligation (CLO) practice within the Asset Securitization group in the New York office. This is an excellent opportunity for a mid-level associate with 3 to 6 years of experience in securitization or structured finance transactions.
Key Responsibilities:
- Draft offering and transaction documents for CLO offerings, warehouse lending transactions, bilateral financing facilities, and other structured lending arrangements
- Handle complex structured finance transactions with a high level of autonomy
- Apply working knowledge of the UCC and review financing statements
- Navigate federal securities laws and regulatory frameworks, including Dodd-Frank, the '33 and '34 Acts, Volcker Rule, Risk Retention Rules, and the '40 Act
- Review and draft legal opinions and understand opinion practice
- Apply knowledge of bankruptcy law as it relates to securitization
Qualifications:
- J.D. from an accredited law school with strong academic credentials
- Admission to the New York Bar in good standing
- Demonstrated ability to manage multiple transactions and competing priorities
- Strong interpersonal, analytical, communication, research, writing, and organizational skills
- Availability to work extended hours when necessary
