Corporate Counsel
Overview
A leading publicly traded manufacturer is seeking an experienced Corporate Counsel to join its in-house legal team. This individual will serve as a key business partner across the organization, providing practical legal guidance on a broad range of matters including commercial transactions, marketing, L&E, privacy, IP, regulatory compliance, and general corporate matters.
This is a highly visible position that will work closely with senior leadership and cross-functional stakeholders across Finance, Sales, Marketing, Operations, and R&D. The role offers exposure to a diverse range of sophisticated legal matters within a growing, established manufacturing organization.
Key Responsibilities
- Provide day-to-day legal counsel across commercial, L&E, marketing, privacy, IP, and regulatory compliance matters.
- Draft, review, structure, and negotiate a variety of commercial agreements, including distribution, licensing, marketing, vendor, and other business contracts.
- Advise on legal issues arising from existing commercial relationships and assist with pre-litigation disputes, claims, and legal inquiries.
- Counsel business and HR stakeholders on employment-related matters and associated legal risk.
- Support senior leadership on M&A transactions, strategic investments, and other corporate initiatives.
- Assist with the company's insurance programs and risk management strategies.
- Oversee and support corporate policies and compliance initiatives, including records retention and information governance.
- Partner cross-functionally with teams including Finance, Marketing, Sales, Operations, and R&D on strategic projects and day-to-day business needs.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Active license and good standing in at least one U.S. jurisdiction.
- 6-8+ years of legal experience within a corporate legal department and/or a sophisticated law firm environment.
- Strong commercial contracting, negotiation, and legal drafting capabilities.
- Ability to provide practical, business-oriented legal advice and effectively balance legal risk with commercial objectives.
