Corporate Counsel - Industrial Sustainability & Refrigerant Solutions Leader
Location: Woodcliff Lake, NJ (Hybrid/Remote flexibility depending on candidate)
A long‑established, mission‑driven company specializing in refrigerant lifecycle management, emissions reduction, and energy‑efficiency services is seeking a Corporate Counsel to join its growing legal function. This organization operates at the intersection of industrial services, environmental sustainability, and regulated commercial operations, supporting customers across commercial, industrial, and governmental sectors.
As Corporate Counsel, you will serve as a strategic legal partner to senior executives and cross‑functional business leaders. You will support commercial operations, guide complex transactions, and help shape the company's compliance, governance, and operational frameworks.
Key Responsibilities
- Lead the contract lifecycle: draft, review, and negotiate a broad range of commercial agreements including MSAs, sales and vendor contracts, leases, NDAs, licensing, and partnership agreements.
- Support M&A, joint ventures, and strategic partnerships, including due diligence and deal documentation.
- Advise HR on employment‑related matters such as offer letters, terminations, compliance, prevailing wage issues, and internal policies.
- Ensure company‑wide regulatory and commercial compliance across a highly regulated operational environment.
- Supervise a contract specialist and manage outside counsel where needed.
- Collaborate with Governance, Compliance, EHS, and Operations Excellence teams to support structured processes, risk oversight, and efficient workflows.
Qualifications
- JD from an accredited law school and active bar membership.
- 6+ years of legal experience, ideally a mix of top law firm training and in‑house work.
- Strong experience with commercial contracting, negotiation, and balancing business objectives with legal risk.
- Excellent communication skills and the ability to build trust cross‑functionally.
- Highly organized, detail‑oriented, adaptable, and effective in fast‑moving environments.
- Ability to break down and clearly communicate complex compliance issues.
- Demonstrated leadership in full contract lifecycle management, process oversight, and regulatory alignment.
Preferred Experience
- Admission to the New Jersey bar or willingness to obtain.
- Background in manufacturing, industrial services, or compressed gases.
- Familiarity with FAR/DFAR and government contracting environments.
- EHS regulatory exposure, sales support experience, or audit/reporting familiarity.
- Comfort working in multi‑location or hybrid/remote environments.
