Corporate M&A Mid-Level Associate (3-5 Years)

A leading corporate practice with a premier technology and life sciences M&A platform is seeking a mid-level Corporate M&A Associate (3-5 years) to join its team. The corporate group advises companies at every stage, from early venture-backed startups to global publicly traded corporations, and is consistently recognized among top M&A practices nationwide, including top-tier middle-market rankings. The team supports major strategic acquisitions, repeat acquisition programs for serial acquirers, and high-profile strategic exits for high-growth companies.

Responsibilities include drafting and negotiating principal transaction documents (stock/asset purchase agreements, merger agreements, disclosure schedules and ancillary agreements), managing and synthesizing legal due diligence, coordinating deal execution and closing processes, preparing board and stockholder approvals, and partnering with specialists across tax, benefits, employment, IP, privacy, and regulatory as needed. Associates will work closely with partners and clients, contribute to negotiation strategy, and help drive timelines across multiple workstreams. Mentoring junior team members and maintaining high-quality work product under tight deadlines are expected.

Qualifications: JD and 3-5 years of substantial M&A experience at a leading corporate firm, superior academic credentials, excellent oral and written communication, strong project management, and collaborative interpersonal skills. Candidates must be admitted in the jurisdiction of their office (or eligible to sit/waive in). Experience with or affinity for technology and/or life sciences clients is a plus.
