Transactional Tax Attorney (Real Estate / Joint Venture Focus)
Our client is a well‑established law firm seeking an experienced Transactional Tax Attorney to support a growing transactional and investment-focused practice. This role centers on providing tax structuring and planning advice for real estate joint ventures, investment platforms, and complex transactions, and working closely with corporate, real estate, and finance colleagues on sophisticated deals.
The firm is prioritizing attorneys who are looking for a long‑term, integrated role with meaningful deal involvement, strong cross‑practice collaboration, and the opportunity to become a go‑to tax advisor within the transactional group. Remote flexibility is available for the right candidate.
Responsibilities
- Advise on the tax structuring and implications of real estate joint ventures, acquisitions, dispositions, developments, and investment transactions
- Support transactional teams on tax matters relating to:
- Joint venture structures and partnership allocations
- Contributions, formations, and exit strategies
- Capital events, restructurings, and refinancings
- Draft and review tax provisions in operating agreements, contribution agreements, purchase agreements, and related transaction documents
- Partner closely with corporate, real estate, and finance attorneys to ensure coordinated, efficient, and tax‑aware deal execution
- Provide tax support for adjacent transactional work, including:
- Fund formation and investment vehicles
- REITs and real estate‑backed structures
- Minority investments and sponsor transactions
- Serve as a trusted internal and client‑facing tax resource throughout the life cycle of transactions
Qualifications
- 3+ years of transactional tax experience, with exposure to real estate‑related or investment‑driven transactions
- Experience may be gained in a tax, corporate, fund formation, or real estate practice
- Strong understanding of partnership taxation and transactional tax concepts
- Ability to spot issues, provide practical guidance, and support deals with increasing autonomy
- Experience with funds, REITs, private equity, or joint venture structures is a plus but not required
- Open to senior associate or counsel‑level candidates
