Senior M&A Counsel
About the Role:
We are partnered with an established financial services company seeking an experience M&A attorney to join its growing legal team. In this key role, you will oversee the legal aspects of mergers and acquisitions, with the ideal candidate having orchestrated deal(s) with financial services companies before. You'll collaborate closely with senior leadership, legal colleagues, and private equity stakeholders to ensure smooth, strategic growth through acquisitions.
Key Responsibilities:
Serve as the primary legal advisor on all phases of M&A activity, particularly related to the acquisition of businesses.
Draft, review, and negotiate confidentiality agreements, term sheets, definitive agreements, employment contracts, and related transaction documentation.
Provide counsel on antitrust considerations and implement effective restrictive covenants in line with transaction strategy.
Partner cross-functionally with internal teams including business executives, HR, legal, and compliance throughout the deal lifecycle.
Coordinate equity-related matters in partnership with the corporate secretary and private equity sponsor.
Anticipate and advise on legal and regulatory risks associated with acquiring financial services businesses.
Support general corporate governance and legal needs for the company and its subsidiaries.
Contribute to a wide range of legal initiatives and special projects as needed.
Required Qualifications:
Juris Doctor (J.D.) from an accredited law school and active membership in at least one U.S. state bar.
A minimum of 6 years of M&A legal experience, ideally with a focus in the financial services sector.
Demonstrated expertise in leading complex deal negotiations and managing legal aspects of high-value transactions.
Strong interpersonal and communication skills, with the ability to influence and guide senior leaders and external partners.
Proven ability to thrive in a fast-paced, high-growth, and collaborative environment.
