Senior Counsel, Technology & Strategic Infrastructure

About the Opportunity

A rapidly scaling technology company is seeking an experienced attorney to take ownership of sophisticated agreements supporting its expanding technical infrastructure.

This position will sit at the intersection of legal, operations, finance, sourcing and technical teams. The attorney will advise on major investments in computing capacity, physical infrastructure and related technology, while developing the contracting frameworks and internal processes needed to support continued growth.

The role offers significant autonomy and responsibility for complex, high-value transactions.

The Role

  • Lead negotiations for the acquisition of critical technology equipment, including computing hardware, servers, networking equipment and associated systems.
  • Advise on agreements for third-party computing capacity and cloud infrastructure, including commercial commitments, pricing structures, service levels, remedies, implementation schedules and risk allocation.
  • Handle agreements relating to data center capacity, colocation arrangements and other physical infrastructure supporting the company's technology operations.
  • Negotiate warranties, supply commitments, delivery obligations, financing provisions and other commercial terms associated with large-scale equipment purchases.
  • Support strategic relationships with infrastructure and technology providers, including referral, reseller and partnership arrangements.
  • Work closely with the commercial legal function on agreements involving the provision of computing services to customers and partners.
  • Partner with operations to develop scalable purchasing and procurement processes.
  • Collaborate directly with teams responsible for capacity planning, sourcing, site selection and finance.
  • Develop contract templates, negotiation guidance, standardized fallback positions and approval processes for infrastructure-related matters.
  • Manage multiple sophisticated and time-sensitive transactions simultaneously, with a focus on practical solutions and efficient execution.

Qualifications

  • 6+ years of commercial legal experience, including meaningful experience either in-house or advising technology or infrastructure-focused businesses.
  • Significant recent experience negotiating sophisticated technology infrastructure transactions involving areas such as cloud or computing capacity, data centers, colocation arrangements or hardware procurement.
  • Experience may have been gained within a major cloud provider, infrastructure platform, advanced technology company, semiconductor business, data center operator or similar environment.
  • Strong understanding of commercial concepts including capacity commitments, minimum-spend structures, service levels and credits, supply and delivery obligations, liability allocation and other contractual risk provisions.
  • Ability to independently manage several significant negotiations in a fast-moving environment where processes may still be developing.
  • Strong commercial judgment and the ability to clearly communicate legal exposure while enabling business teams to make informed decisions.
  • Active membership in good standing with a U.S. state bar. California admission, or eligibility to register as in-house counsel in California, is preferred.

Additional Valuable Experience

  • Real estate matters connected to infrastructure development.
  • Energy or power purchasing arrangements.
  • Export controls, trade compliance or international supply-chain matters.
  • Experience creating legal processes, templates or contracting playbooks within a rapidly growing organization.
