Senior Counsel - Registered Funds & Board Governance
Our client, a leading global asset manager with a long-standing presence in the investment management industry who manages a broad range of investment products across traditional and alternative asset classes is seeking a senior attorney to join its legal team in a high-profile board governance role supporting its U.S. registered fund. This is an excellent opportunity for an attorney with deep Investment Company Act of 1940 experience who enjoys working closely with fund boards, senior executives, and key business stakeholders while serving as a trusted advisor on governance and regulatory matters.

Job Responsibilities:
- Acting as a primary legal resource to fund boards and their committees on governance, fiduciary, and regulatory matters.
- Preparing and reviewing board and committee materials to ensure directors receive clear, concise, and decision-ready information.
- Supporting board and committee meetings, including agenda development, issue identification, materials review, governance processes, and follow-up action items.
- Advising on Investment Company Act compliance, board oversight obligations, and governance best practices.
- Leading legal support for the annual Section 15(c) advisory contract review process.
- Partnering with stakeholders on fund launches, reorganizations, liquidations, and other board-approved initiatives.
- Collaborating with trustees, independent counsel, executives, compliance professionals, and business leaders across the organization.
- Providing strategic legal guidance that balances regulatory requirements with business objectives.
Qualifications:
- D. and active U.S. bar membership.
- 5+ YOE advising registered investment companies, including mutual funds and/or ETFs.
- Strong working knowledge of the Investment Company Act of 1940, fund governance, board oversight responsibilities, and Section 15(c) processes.
- Experience supporting fund boards, board committees, and trustee relationships.
- Outstanding drafting, analytical, and communication skills.
- The ability to translate complex regulatory issues into practical business advice.
- Strong project management skills and the ability to operate independently in a fast-paced environment.
