Senior Counsel / Partner - Tax Law (Real Estate & Joint Ventures)
We are working with a highly respected boutique law firm seeking a senior-level tax attorney with deep expertise in real estate joint ventures and partnership taxation. Senior Tax Attorney Key Responsibilities:
- Structure and advise on complex real estate joint ventures, partnerships, LLCs, and other pass-through entities for major developers, investors, private equity funds, and sponsors.
- Provide advanced tax planning for JV formations, allocations, promotes, waterfalls, exits, restructurings, and dispositions-including strategies for Section 704(c), built-in gain mitigation, like-kind exchanges, UPREIT/DOWNREIT transactions, tax credits, and opportunity zones.
- Handle tax aspects of real estate M&A, financings, investments, and portfolio acquisitions/dispositions.
- Collaborate with real estate, corporate, and finance teams on large-scale deals, delivering creative, value-driven tax solutions.
Ideal Candidate Profile:
- 7+ years of relevant experience in tax law.
- Deep expertise in Subchapter K partnership taxation applied to real estate and joint ventures.
- Strong background advising on high-profile real estate transactions, including joint ventures with taxable/tax-exempt partners, debt/equity financings, and tax-efficient fund structures.
- Exceptional analytical skills and business acumen.
- Highly regarded credentials (LL.M. in Taxation, CPA, prior experience at a large law firm or Big 4, or relevant government service).
- Recognized leader in the field preferred (e.g., Best Lawyers, Chambers).
