We are currently partnered with a highly sophisticated finance boutique law firm that is hiring a Senior Associate to join its Commercial Lending practice. This is an opportunity to work on complex, high‑value transactions for institutional lenders and sponsor clients within a collaborative, deal‑driven platform that pays Cravath scale.
Responsibilities
- Handle sophisticated commercial lending transactions from structuring through closing and post‑closing.
- Draft, review, and negotiate key financing documents, including:
- Credit agreements and related schedules
- Commitment letters and term sheets
- Intercreditor and subordination agreements
- Agreements among lenders
- Second lien and mezzanine loan documentation
- Amendments, waivers, and forbearance agreements
- Sponsor guarantees and other customary secured lending documents
- Represent lenders and/or borrowers in bilateral, club, and syndicated financings.
- Review acquisition documentation and advise on implications for credit facilities.
- Manage multiple active deals simultaneously while driving timelines and execution.
- Take increasing ownership of drafting and negotiation responsibilities.
Qualifications
- 3+ years of experience representing lenders and/or borrowers in commercial lending transactions.
- Experience with leveraged finance and/or sponsor‑backed acquisition finance (middle market or upper middle market).
- Strong drafting and negotiation experience with core credit documentation.
- Exposure to bilateral, club, and/or syndicated deals.
- Excellent analytical, writing, and communication skills.
- Ability to thrive in a fast‑paced, deadline‑driven deal environment.
- Strong academic credentials and a collaborative, client‑focused approach.
