We are partnered with a global specialty chemicals company that develops advanced chemical technologies that enhance the performance and durability of products used in everyday life.

Role Overview
The Legal Counsel will support the General Counsel and Corporate Secretary, focusing on securities law compliance, M&A transactions, and corporate governance. This role requires a proactive, detail-oriented legal professional who thrives in a dynamic environment and can work independently while collaborating across teams. The company is looking for a qualified candidate to join the team out of their office in New Haven, Connecticut or Apex, North Carolina.

Key Responsibilities
* Prepare and file SEC reports (Forms 10-K, 10-Q, 8-K, Proxy Statements, Section 16)
* Advise on securities law compliance for earnings releases, investor communications, and presentations
* Ensure compliance with NYSE listing standards and monitor regulatory developments
* Lead legal aspects of global M&A transactions, including drafting and negotiating key documents
* Support capital markets activities such as equity and debt offerings
* Provide legal guidance on treasury matters including credit agreements, debt repricing, and cash repatriation
* Assist with subsidiary management, reorganizations, and intercompany transactions
* Contribute to ESG initiatives, including disclosure reviews and sustainability reporting


Qualifications
* Juris Doctor (J.D.) and active U.S. state bar membership
* Eligible to practice law in Connecticut (Authorized House Counsel status required)
* Minimum 7 years of legal experience, with strong expertise in SEC reporting and M&A
* In-house experience at a public company preferred
