Securities & Corporate Counsel
I am working with a fast-growing consumer goods retail company in the US that is looking for a Securities & Corporate Governance Counsel to join their legal department. They are looking for an attorney to join their team to assist in SEC filings and corporate governance.
Key Responsibilities
Preparation and review of SEC filings including Forms 10-K, 10-Q, 8-K, proxy statements
Preparation and review of Section 16 filings
Support compliance with U.S. securities laws, SEC regulations, and stock exchange listing standards
Support preparation of board and committee materials related to securities and disclosure matters
Work closely with finance, accounting, investor relations, and external counsel
Assist with annual shareholder meetings and proxy processes
Assist with maintenance of corporate records and governance documentation
Support internal compliance initiatives and training programs
Draft, review, and negotiate commercial contracts
Qualifications
J.D. from an accredited law school; licensed to practice in Texas or eligible for in-house counsel registration
3-5 years of legal experience, preferably in a public company or law firm serving public clients
Strong knowledge of securities law, corporate governance, and general business law
