Project Finance Counsel
A market-leading clean energy company is seeking a Project Finance Counsel to join its in-house legal team and support the execution of sophisticated financing transactions that drive the growth of a large-scale energy and infrastructure platform.
This role is ideal for an attorney with a strong project finance background who is looking to move into a highly strategic business-facing position. The successful candidate will work closely with executive leadership, finance, development, and outside counsel on complex capital markets and project financing matters supporting a nationwide portfolio of energy assets.
Key Responsibilities
- Lead and support the structuring, negotiation, documentation, and closing of complex project finance transactions.
- Draft and negotiate financing agreements related to debt financings, tax equity investments, structured financings, securitizations, credit facilities, and other capital markets transactions.
- Manage transaction execution, including closing mechanics, conditions precedent, and coordination with internal and external stakeholders.
- Support corporate governance matters associated with financing transactions, including approvals, resolutions, organizational documents, and affiliated entity arrangements.
- Oversee legal due diligence processes and collaborate with finance, compliance, and business teams to address investor and lender requirements.
- Provide practical, business-oriented legal advice to cross-functional stakeholders on financing, transactional, and strategic matters.
- Manage outside counsel and other advisors to ensure efficient transaction execution and cost-effective legal support.
- Assist in developing legal processes, templates, and best practices to support a growing and evolving business.
Qualifications
- J.D. from an accredited law school and active admission in at least one U.S. jurisdiction.
- Minmum of 4+ years of experience practicing law with significant exposure to project finance, structured finance, and capital markets.
- Renewable energy, infrastructure, power, or energy-transition experience required.
- Demonstrated ability to independently manage sophisticated transactions from initial structuring through closing.
- Strong drafting, negotiation, analytical, and problem-solving skills.
- Former law firm experience required.
- Ability to communicate complex legal and commercial concepts to business stakeholders and senior leadership.
- Collaborative, entrepreneurial mindset with the ability to operate effectively in a dynamic and fast-paced environment.
