Our client, a top‑tier Am Law 50 firm, is seeking a M&A Associate (2-5 years) to join their highly regarded corporate practice. The Role
This position sits within the firm's Mergers & Acquisitions practice and involves advising on a wide range of public and private M&A transactions, spanning both buy‑side and sell‑side mandates. Their clients include Fortune 500 companies, private equity firms, investment banks, and privately-held companies.
Responsibilities
- Advise on domestic and cross‑border M&A transactions, including both public and private deals
- Handle buy‑side and sell‑side representations
- Work on complex transaction structures, including spin‑offs, carve‑outs, leveraged buyouts, recapitalisations, and tender offers
- Draft and negotiate key transaction documentation and ancillary agreements
- Manage due diligence processes and coordinate across internal specialist teams
- Serve as a key point of contact for clients, counterparties, and internal stakeholders
- Play an active role in leading transaction processes from structuring through closing
Qualifications
- JD and admission to the bar in the relevant jurisdiction (or eligibility to waive in)
- 2-5 years M&A experience from a strong BigLaw platform (generally AmLaw 100, ideally AmLaw 50)
- Solid experience across public and private M&A, with exposure to complex deal structures
- Strong drafting and writing skills, with high attention to detail
- Comfortable working with sophisticated, white‑glove clients
- Proven ability to operate effectively in leaner deal teams and manage multiple workstreams
- Proactive, commercially minded, and confident taking responsibility
