Leverage Finance Associate Attorney

AmLaw-ranked law firm seeking a Leveraged Finance Associate to join its nationally recognized, Chambers-ranked finance practice. This is an excellent opportunity for an attorney looking to work on sophisticated financing transactions for leading private equity sponsors, corporate borrowers, lenders, and other financial institutions in a highly collaborative and growing platform.

LevFin Attorney Responsibilities:

  • Represent private equity sponsors, corporate borrowers, direct lenders, commercial banks, and other financial institutions in leveraged finance transactions.
  • Draft, review, and negotiate credit agreements, commitment letters, security documents, intercreditor agreements, and other financing-related transaction documents.
  • Advise clients on acquisition financings, recapitalizations, refinancing transactions, dividend recapitalizations, and other complex debt financing matters.
  • Conduct legal due diligence and assist in structuring financing transactions across a variety of industries.
  • Collaborate with M&A, private equity, capital markets, restructuring, and other practice groups on multidisciplinary transactions.
  • Manage transaction timelines, coordinate deal teams, and serve as a key point of contact for clients.
  • Provide practical, business-oriented advice on complex financing structures and market terms.

LevFin Attorney Qualifications:

  • J.D. from an accredited law school and strong academic credentials.
  • 3+ years of leveraged finance, syndicated lending, acquisition finance, fund finance, or general finance experience at a law firm.
  • Experience representing borrowers, lenders, private equity sponsors, or financial institutions in sophisticated financing transactions.
  • Strong drafting, negotiation, analytical, and client management skills.
  • Ability to independently manage multiple transactions while working effectively in a fast-paced environment.
  • Admission to the bar in the state where the attorney will practice, or ability to obtain admission promptly.
