About the Role
The Legal Counsel will provide a wide range of support to program, fundraising, and operations teams. Reporting to the Director of Legal and working closely with the General Counsel, this role will primarily focus on fund formation while also serving as a corporate and commercial generalist to manage risk and enable efficient operations.
You'll provide and coordinate timely legal involvement in transactions, manage outside counsel, and maintain cohesion across global investment and support teams. This is an opportunity to work with experienced practitioners, contribute to purpose-driven work, and help build a fast-growing investment adviser on track to exceed $500 million in AUM next year.
Key Responsibilities
- Fund Marketing, Formation & Oversight: Support the full lifecycle of pooled investment vehicles, including development, marketing, investor diligence, formation, negotiation, implementation, reporting, and liquidation.
- Deal Diligence & Documentation: Review term sheets, diligence summaries, and final documentation; confirm compliance with funder requirements; manage contractual needs for grants, vendors, and NDAs.
- Cross-Team Collaboration: Work closely with legal, compliance, and ESG teams; support early-stage investing teams; draft and review contracts; and contribute to operational sustainability initiatives.
Skills & Qualifications
- Minimum 4 years practicing funds and transactional law; experience with governmental funders or impact organizations is a plus.
- Strong organizational skills and ability to manage multiple projects independently under pressure.
- Excellent written and verbal communication skills.
- Commitment to accuracy, attention to detail, and follow-through.
- Enthusiasm for our mission and comfort navigating ambiguity with integrity and resilience.
- Licensed to practice law in the U.S. with a JD or equivalent; authorized to work in the U.S.
