General Counsel Corporate Secretary
A venture-focused organization is seeking a General Counsel & Corporate Secretary to serve as a key legal and business advisor to executive leadership, the Board, and affiliated entities. This role offers broad exposure across investment transactions, governance, strategic initiatives, and startup ecosystem support.
Key Responsibilities
- Lead legal support for venture investments, including SAFEs, convertible debt, equity investments, warrants, and other financing structures
- Draft, review, and negotiate investment, commercial, technology, partnership, grant, and vendor agreements
- Manage legal due diligence and support investment evaluations and portfolio company transactions
- Serve as Corporate Secretary and support board governance, meetings, resolutions, and organizational compliance
- Advise leadership on risk management, employment matters, intellectual property, data privacy, and strategic business initiatives
- Manage outside counsel and other legal partners
Qualifications
- J.D. and active bar membership
- 8+ years of legal experience
- Background in venture capital, private equity, corporate transactions, securities, commercial contracts, or general business law
- Experience advising executive leadership teams and boards of directors
- Strong drafting, negotiation, governance, and transaction management skills
Preferred
- Experience with startups, venture-backed companies, accelerators, incubators, investment organizations, or innovation-focused environments
- Familiarity with venture financing structures, fundraising transactions, and portfolio company support
- Corporate Secretary and board governance experience
- Practical, business-oriented approach with an entrepreneurial mindset
