Counsel - Securities and Governance
A publicly traded clean energy technology company is seeking a Securities & Corporate Governance Counsel to join its legal team. The company develops innovative energy solutions that support critical infrastructure, advanced manufacturing, data centers, and other energy-intensive industries. This is an opportunity to play a key role at a rapidly growing, mission-driven organization focused on powering the future.
Location: San Jose, CA (Onsite, 5 days/week)
Key Responsibilities
- Lead compliance with SEC regulations, NYSE requirements, and public company reporting obligations, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Sarbanes-Oxley compliance.
- Partner with senior executives on earnings releases, investor communications, disclosure matters, and shareholder proposals.
- Advise on corporate governance, board matters, public company policies, and regulatory developments.
- Support equity and debt financings, M&A transactions, joint ventures, and other strategic initiatives.
- Provide legal guidance on international business operations and subsidiary management.
- Monitor governance trends, SEC developments, and corporate best practices.
Qualifications
- J.D. from an accredited law school and at least 10 years of relevant legal experience.
- Minimum 5 years of law firm experience.
- In-house securities and governance experience at a public company required.
- Strong background in SEC reporting, corporate governance, and public company compliance.
- International experience preferred.
- Experience supporting manufacturing, industrial, energy, or technology companies is a plus.
Compensation: $209,100-$300,900 base salary, plus comprehensive benefits.
