A leading global private equity firm is seeking a Legal Counsel, Funds to take a hands‑on role in the daily legal operations behind the firm's fund formation and capital‑raising activities. This position is ideal for an attorney who enjoys being embedded in the business and managing the full lifecycle of fund launches, investor negotiations, and ongoing fundraising workflows.
In this role, your day will be spent partnering closely with investment teams, investor relations, and senior leadership to ensure smooth, compliant, and efficient execution across all fundraising initiatives. You'll be the go‑to legal advisor for everything from drafting fund documents to coordinating investor closings, giving you a front‑row seat to how a top‑tier private equity platform raises and deploys capital.
Qualifications of the Legal Counsel:
- JD accredited law school
- Minimum 4 years of experience in the investment management group at a law firm or relevant in-house experience
- Fund formation experience required
- Ability to work autonomously
Responsibilities
- Lead the legal workstream for new fund launches and co‑investment vehicles, including drafting and negotiating fund documents, side letters, and subscription materials.
- Review and refine private placement memoranda, marketing decks, diligence materials, and investor communications.
- Support ongoing fundraising cycles by responding to investor inquiries, negotiating bespoke terms, and ensuring consistent application of fund provisions.
- Work closely with deal teams on term sheets, bid letters, and transaction‑related documentation when fundraising intersects with deal execution.
- Monitor regulatory developments affecting private funds and incorporate updates into fundraising practices and documentation.
- Assist with regulatory filings tied to fund activity or portfolio transactions.
- Serve as a practical, business‑minded advisor to teams across the firm, helping translate legal requirements into clear operational steps.
