Our client is a leading investment management firm with a strong regional presence. They are seeking a corporate secretarial and governance professional to join their Legal team, supporting a broad range of governance, board, and legal administration activities across multiple entities and jurisdictions.

Responsibilities for this Corporate Secretarial - Leading Investment Management role

  • Provide corporate secretarial and governance support across a portfolio of regional entities, including management of board and shareholder matters, statutory filings, and corporate records.
  • Draft, review, and coordinate board resolutions, governance documentation, and approval papers for operating companies, joint ventures, and investment vehicles.
  • Manage appointments and changes relating to directors, key officers, committees, and governance forums, ensuring all internal and external approvals are obtained.
  • Partner with internal stakeholders and external service providers to oversee statutory compliance, corporate filings, and governance obligations across jurisdictions.
  • Coordinate board and committee meetings, including annual planning, agenda preparation, board paper collation, meeting logistics, and minute-taking.
  • Liaise with group governance and corporate secretarial functions on periodic reporting, governance initiatives, and regulatory matters.

Requirements for this Corporate Secretarial - Leading Investment Management role

  • 10-15 years of experience in relevant corporate secretarial experience gained within a multinational corporation, financial institution, professional services firm, or corporate secretarial service provider.
  • Degree or diploma in Law, Corporate Governance, Corporate Secretarial Practice, or a related discipline.
  • Strong understanding of Singapore corporate governance requirements, including Companies Act compliance, statutory filings, board governance, and corporate record maintenance.
  • Ability to balance corporate secretarial responsibilities with broader legal operational and administrative support duties.
