Corporate Paralegal
We are partnering with a public enterprise software and data company that is one of the original pioneers in business intelligence software! The company is trusted by thousands of global enterprises across industries and are evolving rapidly into the modern AI space. As on of the largest Bitcoin treasury companies, they are a major player in digital assets and are looking for a creative and data-driven Corporate Paralegal to join their legal team. You will report to the VP & Associate General Counsel (Corporate Governance & Securities), with exposure to multiple areas of the business.
Key Responsibilities
- SEC Reporting & Compliance
- Assist in preparing and coordinating filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings (Forms 3, 4, 5), Proxy statements and other disclosures
- Support public company reporting processes and ensure compliance with SEC and exchange requirements
- Corporate Governance
- Maintain corporate records and entity documentation and support board and committee operations (meeting materials and minutes, and governance documentation
- Legal Research & Projects
- Conduct research on corporate, governance, and securities matters
- Prepare clear and concise summaries and memoranda
- Commercial Contracting
- Assist with drafting and negotiating NDAs and low-to-moderate complexity contracts under attorney supervision
Qualifications/Qualities
- Bachelor's degree and/or ABA-approved paralegal certificate (or equivalent experience)
- 2+ years of corporate paralegal experience ideally at a public company supporting public company clients at a law firm
- Hands-on experience with SEC filings (10-K, 10-Q, 8-K, Section 16 forms).
- Strong understanding of corporate governance and public company practices
- Experience managing Corporate records, Board materials, Entity documentation
