Corporate Paralegal

We are seeking a detail-oriented and proactive Corporate Paralegal to support our Legal Department in managing corporate governance and subsidiary compliance across domestic and international entities. This role is critical to ensuring the integrity of our corporate records, facilitating board and committee operations, and supporting legal and regulatory compliance.

Key Responsibilites:

Corporate Governance Support:

  • Assist in the preparation, distribution, and maintenance of board and committee materials, including agendas, resolutions, minutes, and consents.
  • Maintain corporate records and ensure timely filings of annual reports and other required documents.
  • Support the execution of corporate actions, including entity formations, dissolutions, mergers, and reorganizations.

Subsidiary Management:

  • Maintain and update the global subsidiary database and organizational charts.
  • Coordinate with internal stakeholders and external counsel to ensure compliance with local laws and regulations.
  • Track and manage deadlines for subsidiary filings, licenses, and renewals.

Compliance & Legal Operations:

  • Support internal audits and regulatory inquiries related to corporate structure and governance.
  • Assist with Know Your Customer (KYC) and due diligence requests.
  • Collaborate with cross-functional teams including Tax, Finance, and Treasury on entity-related matters.

Administrative & Project Support:

  • Manage document execution, notarization, and apostille processes.
  • Support special projects related to corporate governance and legal entity management.
  • Help implement and maintain legal technology tools for entity management and governance workflows.

Qualfications:

  • Bachelor's degree or paralegal certificate from an ABA-approved program.
  • Minimum of 5 years of experience in a corporate legal department or law firm.
  • Strong understanding of corporate governance principles and legal entity management.
  • Proficiency in entity management systems (e.g., GEMS, Diligent Entities, hCue).
  • Excellent organizational, communication, and analytical skills.
  • Ability to manage multiple priorities in a fast-paced environment with attention to detail.
  • Project management experience or certification a plus
