Corporate Governance and Securities Associate Attorney
We are partnered with a highly respected law firm to support the continued growth of its Corporate Governance and Securities practice. This is an exciting opportunity to join a collaborative team advising public company clients on a wide range of disclosure, compliance, and transactional matters.
Corporate Attorney Responsibilities:
- Advise public company clients on corporate governance matters and ongoing securities compliance obligations
- Draft and review SEC filings, including 1934 Act reports, proxy statements, and other public disclosures
- Counsel clients on stock exchange listing requirements and related regulatory considerations
- Support capital markets transactions, including equity and debt offerings
- Assist with public company mergers and acquisitions from diligence through closing
- Second-chair complex transactions and take on increasing responsibility in deal execution
- Interface directly with clients, providing practical, business-focused guidance
Corporate Attorney Qualifications:
- J.D. from an accredited law school and admitted to practice (or ability to waive in)
- 3+ years of experience with corporate governance, securities, or capital markets matters at a law firm
- Experience working with public company clients and SEC reporting requirements
- Exposure to M&A transactions involving public companies preferred
- Strong analytical, drafting, and organizational skills with attention to detail
- Ability to manage multiple matters and work effectively in a fast-paced environment
- Strong communication skills and a demonstrated ability to interact with clients
