The Opportunity

Our client is seeking a Corporate Counsel to join its legal team and provide legal support across a wide range of corporate, transactional, regulatory, and operational matters. Reporting into senior legal leadership, this attorney will partner with business stakeholders throughout the organization and play a key role in supporting commercial transactions, project development initiatives, governance matters, regulatory issues, and risk management activities.

This position offers significant exposure to executive leadership, board-level initiatives, and complex legal matters within the utility and energy sector.

Key Responsibilities

• Provide legal counsel across a broad range of business functions, including commercial contracting, project development, procurement, construction, renewable energy initiatives, and operational matters.
• Draft, review, negotiate, and interpret a variety of commercial agreements, including EPC agreements, power purchase agreements, technology contracts, government contracts, procurement agreements, and real estate transactions.
• Advise business leaders on corporate, regulatory, contractual, and compliance matters affecting operations.
• Support project development, acquisitions, strategic transactions, and risk management initiatives.
• Assist with M&A transactions, asset acquisitions, due diligence activities, and post-transaction implementation efforts.
• Provide guidance on real estate matters, land rights, condemnation issues, and property-related transactions.
• Support corporate governance activities through the review of board materials, resolutions, governance documents, and corporate records.
• Attend board and committee meetings and provide legal guidance on governance and compliance matters.
• Monitor legislative and regulatory developments and advise stakeholders on potential impacts to business operations.
• Represent the organization before regulatory agencies, governmental bodies, administrative tribunals, and courts as necessary.
• Manage litigation matters, claims, disputes, and relationships with outside counsel.
• Advise internal stakeholders on legal risk, compliance requirements, and business strategy considerations.
• Assist with legal department planning, budgeting, and management of external legal resources.

Qualifications

• Juris Doctor (JD) from an accredited law school.
• Licensed attorney in good standing.
• Minimum of 5 years of contract and transactional legal experience.
• Demonstrated experience drafting, negotiating, and reviewing complex commercial agreements.
• Experience advising on corporate transactions, contract law, procurement matters, and project development initiatives.
• Familiarity with utility, energy, infrastructure, construction, or other highly regulated industries is preferred.
• Knowledge of corporate governance, board-related matters, and corporate compliance requirements.
• Experience handling regulatory, administrative, or governmental proceedings is preferred.
• Understanding of real estate transactions, condemnation, land rights, or property-related matters is a plus.
• Strong analytical, research, negotiation, and problem-solving skills.
• Excellent written and verbal communication skills with the ability to advise business and executive stakeholders.
• Ability to manage multiple legal matters simultaneously while collaborating effectively with cross-functional teams.
• Experience managing outside counsel and legal service providers is preferred.
• Admission to the Kentucky Bar, or the ability to become licensed in Kentucky, is highly desirable.

Location: Winchester, Kentucky (Hybrid)

Schedule: Hybrid schedule with a combination of onsite and remote work.

Travel: Limited travel may be required.
