Our client, a rapidly growing global manufacturing company is looking to bring on a Corporate Counsel to work directly with the General Counsel on all corporate matters, including M&A, real estate, corporate governance, and SaaS. This individual will be a key contributor to the company's corporate services departments. A strong candidate will have at least 3 years of experience in corporate law, in either an in-house or law firm setting.

Job Title: Corporate Counsel

Location: Remote, preferred in Milwaukee, WI

Reports to: General Counsel

Job Description:

  • Provide legal support on corporate governance, entity management, organizational filings, corporate policies, and executive compensation and benefits.
  • Assist with Board of Directors matters, including drafting meeting calendars, agendas, resolutions, charters, and governance materials.
  • Manage global legal entity compliance, including corporate filings, registrations, and oversight of directorship structures.
  • Serve as legal liaison and Benefits Committee member, advising on plan documents, amendments, compliance, and board reporting.
  • Draft, review, and negotiate high-value agreements across Finance, HR, and IT, including credit, compensation, SaaS/cloud, and professional services contracts.
  • Counsel on real estate transactions and documentation, including leases, acquisitions, construction, and asset management.
  • Support M&A and business development activities, including due diligence, data room management, and deal execution.
  • Conduct legal risk assessments and develop mitigation strategies.
  • Lead or contribute to the development and refinement of legal forms, processes, and procedures.
  • Coordinate with external legal counsel as needed.

Requirements and Qualifications:

  • 3+ years practicing law as a corporate counsel/attorney.
  • Barred in the US, Wisconsin Preferred
  • US Citizen (ITAR Compliance)
  • Excellent oral and written communication skills.
  • Excellent analytical skills.
  • Proven ability to exercise sound and practical business judgment.
  • Able to apply risk-based thinking while multitasking and working in a fast-paced environment.
  • Ability to establish strong relationships with all levels of management and leaders to influence with or without direct authority.
  • Demonstrated ability to earn respect through communication, professionalism, and presence.
  • History of maintaining organized and comprehensive records.
  • Eagerness for learning new areas of law and expanding legal and business skillsets.
  • Supports a culture of ethical behavior and legal compliance throughout the organization.

Compensation:

  • 150,000 - 200,000
