Commercial Counsel

The Opportunity

A rapidly expanding global data center and cloud‑infrastructure provider is seeking a Commercial / Corporate Counsel with experience negotiating cloud hyperscaler agreements and complex commercial contracts. This role is ideal for a lawyer who wants to work at the intersection of cloud services, infrastructure, AI workloads, and hyperscale computing, advising on high‑value commercial deals and supporting enterprise partnerships.

You will play a key role in supporting the organisation's global commercial function and shaping contractual frameworks used to engage with major cloud providers, enterprise customers, technology vendors, and AI infrastructure partners.

Key Responsibilities

In this role, you will:

  • Draft, negotiate, and manage commercial agreements, including cloud service agreements, vendor contracts, and strategic partnership deals.
  • Lead negotiations involving hyperscalers (e.g., AWS, Azure, GCP) and understand the unique dynamics of their highly standardised commercial terms.
  • Provide legal and commercial guidance on cloud infrastructure, data center operations, AI workloads, and enterprise cloud deployments.
  • Develop templates, playbooks, and contracting standards to support scaling operations.
  • Ensure compliance with data protection, regulatory, and operational requirements across regions.
  • Advise senior stakeholders on contractual risk, negotiation strategy, and deal structuring.
  • Coordinate with finance, procurement, product, and engineering teams during deal cycles.

What We're Looking For

Essential

  • 3+ years' experience as a commercial, corporate, or technology lawyer.
  • Strong background in drafting and negotiating commercial contracts.
  • Experience with cloud / IT service agreements, ideally including exposure to AWS, Azure, or GCP contracting models.
  • Excellent communication skills and ability to advise both legal and non‑legal stakeholders.

Preferred

  • Experience in data center, cloud, SaaS, or infrastructure environments.
  • Familiarity with SLAs, uptime requirements, and consumption‑based pricing frameworks.
  • Previous work on AI‑related or high‑performance compute (HPC) contracting.
  • Comfortable working in a fast‑growing, international organisation.
