Our client is an established private investment and real estate firm with a diversified portfolio of operating businesses and real estate assets across the United States. The firm is seeking an Associate Operations Counsel to support a broad range of commercial, corporate, and operational legal matters. This position offers substantial exposure to business leaders and the opportunity to work across multiple business functions in a fast-paced, entrepreneurial environment.

Position Summary

The Associate Operations Counsel will serve as a key legal partner to internal stakeholders, providing practical legal guidance on commercial contracts, vendor relationships, corporate transactions, and day-to-day operational matters. The ideal candidate will be a business-minded attorney with strong drafting and negotiation skills who is comfortable supporting multiple stakeholders and balancing legal risk with commercial objectives.

Key Responsibilities

• Draft, review, negotiate, and manage a wide variety of commercial agreements, including vendor contracts, service agreements, master services agreements, NDAs, consulting agreements, and related operational contracts.
• Provide legal support on corporate transactions, including acquisitions, divestitures, strategic investments, financing transactions, and related due diligence activities.
• Partner with business, finance, operations, procurement, and executive teams to identify legal risks and develop practical business solutions.
• Assist with corporate governance matters, entity management, board and corporate record maintenance, and general corporate housekeeping.
• Support vendor management initiatives, procurement processes, and third-party risk assessments.
• Develop, maintain, and improve contract templates, negotiation playbooks, and internal legal processes to drive efficiency and consistency.
• Coordinate with and manage outside counsel on specialized legal matters when necessary.
• Provide day-to-day legal guidance on operational issues, compliance matters, and business initiatives.
• Assist with dispute resolution, claims management, and other legal matters affecting the firm's operations.
• Monitor relevant legal and regulatory developments impacting the business and provide actionable recommendations to internal stakeholders.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Active bar membership in good standing within at least one U.S. jurisdiction.
• Minimum of 3 years of legal experience gained in a law firm and/or in-house legal department.
• Experience drafting, reviewing, and negotiating commercial contracts and vendor agreements.
• Exposure to corporate transactions, including M&A, investments, financing transactions, or other strategic corporate matters.
• Strong understanding of corporate legal principles, contract law, and risk management.
• Excellent written and verbal communication skills with the ability to effectively advise both legal and non-legal stakeholders.
• Highly organized with the ability to manage multiple priorities in a dynamic environment.
• Strong commercial judgment and a practical, solutions-oriented approach.
