Associate General Counsel (temp to perm)

Position Summary

We are seeking an experienced and business-oriented Associate General Counsel to join our growing legal team. This role will support a broad range of legal matters across the organization, with a primary focus on commercial contract drafting and negotiations, healthcare regulatory and compliance matters, and strategic transactions, including mergers and acquisitions. The ideal candidate will also bring additional experience in intellectual property and/or litigation to support the company's evolving legal needs.

This is a high-impact role requiring both strong technical legal skills and the ability to partner effectively with business and clinical leaders in a dynamic healthcare environment.

Key Responsibilities

Commercial Contracts & Transactions

  • Draft, review, and negotiate a broad range of commercial agreements, including vendor, professional services, technology/SaaS, licensing, NDAs, MSAs, BAAs, and partnership agreements
  • Provide practical, business-oriented legal advice to support operational and growth initiatives
  • Maintain and enhance contract templates and negotiation standards

Healthcare Regulatory & Compliance

  • Advise on federal and state healthcare laws and regulations, including HIPAA, Stark Law, Anti-Kickback Statute, False Claims Act, Medicare/Medicaid, and applicable Florida laws
  • Support healthcare compliance programs, policies, audits, and investigations
  • Provide guidance on provider relationships, reimbursement, clinical operations, and patient privacy

Mergers & Acquisitions

  • Support M&A, joint ventures, and strategic transactions, including due diligence, drafting and negotiating transaction documents, and post-closing integration
  • Coordinate with outside counsel, finance, and internal executives throughout transactions

General Legal Support

  • Provide day-to-day legal advice across business functions
  • Monitor regulatory developments and support corporate governance and internal legal processes

Qualifications Required

  • Juris Doctor (JD) from an accredited law school
  • Active bar membership in good standing (Florida Bar preferred or eligibility to obtain)
  • Significant experience with commercial contracts and healthcare law
  • Experience in healthcare settings, healthcare services, life sciences, or related regulated industries
  • Strong drafting, negotiation, and analytical skills
