Associate General Counsel-Mutual Funds

A leading asset management firm is seeking an Associate General Counsel to support its institutional investment management business across a broad range of legal, regulatory, transactional, and strategic matters. This role offers significant interaction with investment professionals, clients, senior leadership, and control functions while advising on sophisticated investment products and structures.

Key Responsibilities

  • Advise on the formation, structuring, and ongoing management of private investment funds, including customized and alternative investment vehicles
  • Support institutional separate account relationships and negotiate investment management agreements
  • Advise on the development, distribution, and maintenance of investment products and strategies in domestic and international markets
  • Draft, review, and negotiate agreements with service providers, counterparties, and other strategic business partners
  • Review client questionnaires, RFPs, due diligence requests, and marketing materials
  • Advise on securities trading, investment advisory, and regulatory matters
  • Partner closely with legal, compliance, operations, and investment teams on business initiatives and risk management matters
  • Manage outside counsel and support complex transactional projects

Qualifications

  • J.D. and active bar membership
  • 8+ years of legal experience, including substantial investment management and private fund experience
  • Strong knowledge of the Investment Advisers Act and related regulatory frameworks applicable to investment advisers and private funds
  • Experience with fund formation, investment adviser regulatory matters, and institutional asset management
  • Strong drafting, negotiation, organizational, and project management skills
  • Ability to work directly with senior leadership, investment professionals, and clients

Preferred

  • Experience with private funds, separate accounts, and alternative investment products
  • Familiarity with ERISA and institutional investor considerations
  • Ability to manage multiple priorities in a fast-paced environment
  • Practical, business-oriented approach to legal and regulatory matters
