Position Summary

Our Client is seeking a talented and business-minded Associate General Counsel to join its in-house legal team. This individual will support the firm's investment activities and corporate operations by providing legal guidance on fund formation, regulatory compliance, investment transactions, and general corporate matters. The ideal candidate will bring a strong foundation in investment management law, excellent judgment, and a proactive, solution-oriented approach.

Key Responsibilities:

  • Provide legal support for the formation, structuring, and ongoing operation of private investment funds, including private equity, credit, real estate, infrastructure, and other alternative asset strategies.

  • Draft, review, and negotiate fund offering documents, limited partnership agreements, subscription agreements, side letters, and related fund documentation.

  • Advise on investor negotiations, onboarding processes, and compliance with regulatory and contractual obligations.

  • Monitor and interpret applicable U.S. and international laws and regulations (e.g., Investment Advisers Act, Securities Act, AIFMD, ERISA) and assess their impact on fund activities and firm operations.

  • Support internal teams (investor relations, tax, compliance, operations) in connection with fund launches, closings, and ongoing fund administration.

  • Coordinate with outside counsel on fund formation, regulatory matters, and jurisdictional legal considerations.

  • Assist with legal aspects of marketing and fundraising, including review of pitch decks, DDQs, and placement agent agreements.

  • Support the legal review of fund investments, co-investments, and secondary transactions as needed.

  • Maintain and enhance fund governance policies, legal templates, and process improvements.

  • Provide training and legal updates to internal stakeholders on fund-related legal and regulatory developments.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.

  • Active license to practice law in a U.S. jurisdiction

  • 4-12 years of relevant legal experience, with a strong focus on private fund formation, structuring, and regulatory compliance.

  • Experience working at a top-tier law firm, asset manager, or fund sponsor, with exposure to private equity, credit, real estate, or infrastructure funds.

  • Deep understanding of U.S. securities laws and regulatory regimes applicable to private funds, including the Investment Advisers Act, Securities Act, and ERISA.

  • Demonstrated ability to draft and negotiate limited partnership agreements, side letters, offering memoranda, and other fund-related documents.

  • Familiarity with investor relations, fundraising processes, and institutional investor requirements.

  • Excellent analytical, communication, and problem-solving skills with strong attention to detail.

  • Ability to manage multiple projects and priorities in a fast-paced, collaborative environment.

  • Business-oriented mindset with the ability to deliver practical legal advice aligned with commercial objectives.
