Company Summary:

A leading government-sponsored enterprise and key player in the U.S. housing finance market, is seeking a highly motivated Associate General Counsel to join its Corporate Legal team. This role sits within a real estate group and focuses on supporting complex corporate finance and structured transactions. This is an excellent opportunity for a transactional attorney looking to transition in-house while continuing to work on sophisticated, high-impact deals in a collaborative environment.

The Associate General Counsel will be responsible for…

  • Leading and advising on structured finance transactions within the mortgage servicing
  • Drafting, reviewing, and negotiating complex transaction documents and agreements
  • Managing transactions end-to-end, including structuring, execution, and closing
  • Partnering closely with business stakeholders to provide strategic legal guidance on deal activity
  • Collaborating with internal legal team members to drive transactions forward and resolve issues
  • Participating in ongoing training and development while gaining exposure to Freddie Mac-specific transaction structures

The Associate General Counsel should have the following qualifications:

  • JD and licensed attorney in good standing
  • 5+ years of experience at a law firm with strong transactional training
  • Experience leading complex corporate, finance, M&A, or real estate transactions
  • Strong drafting and negotiation skills with the ability to work independently
  • Ability to manage multiple transactions and work directly with senior stakeholders
  • Structured finance experience is a plus, but not required
