Associate General Counsel - Capital Markets & Lending Counsel
The Opportunity
This attorney will serve as a key legal advisor to front-office, risk, compliance, and senior business stakeholders, providing guidance on a broad range of capital markets, lending, regulatory, and transactional matters. The role offers exposure to complex cross-border transactions and the opportunity to partner with colleagues across multiple jurisdictions.
Key Responsibilities
- Provide legal support for a wide range of capital markets transactions, including public and private debt offerings, equity issuances, structured products, asset-backed securities, private placements, and secondary trading activities.
- Advise business teams on U.S. securities laws, broker-dealer regulations, and related SEC and FINRA requirements.
- Review, negotiate, and analyze documentation related to investment banking, underwriting, and distribution activities.
- Support a variety of lending transactions, including acquisition and corporate financings, project finance transactions, subscription and capital call facilities, and syndicated, club, and bilateral loan structures.
- Partner with stakeholders across investment banking, risk, compliance, operations, and senior management to provide practical legal guidance on day-to-day matters.
- Counsel internal clients on legal and regulatory developments impacting U.S. corporate and investment banking operations.
- Collaborate with legal colleagues and business teams across multiple global offices on cross-border initiatives and transactions.
- Participate in strategic discussions and represent the Legal function in meetings with senior executives and external advisors.
Qualifications
- J.D. from an accredited law school and active admission to practice in New York.
- 5+ years of relevant experience gained at a leading law firm and/or financial institution.
- Significant experience negotiating and advising on both capital markets and bank finance transactions.
- Strong knowledge of U.S. securities laws, broker-dealer regulations, and related regulatory frameworks.
- Proven ability to manage multiple priorities, exercise sound judgment, and operate independently in a fast-paced environment.
- Exceptional analytical, drafting, negotiation, and communication skills.
- Demonstrated professionalism, integrity, and commitment to delivering high-quality legal support.
Preferred Experience
- Familiarity with legal and regulatory issues affecting global banking organizations.
- Interest in process improvement, legal operations, and enhancing departmental efficiencies.
- Experience or willingness to advise on a diverse range of legal matters, including derivatives, trade finance, vendor agreements, cybersecurity, data privacy, financial crime compliance, sustainability initiatives, corporate governance, and regulatory reporting.
