Overview
A well-established Registered Investment Adviser specializing in commercial real estate investments is seeking an Assistant General Counsel to support its growing investment and asset management platform. This role will focus primarily on commercial real estate transactions, working closely with investment, finance, and asset management teams through the full transaction lifecycle. Reports directly in to the Chief Legal Officer.
Key Responsibilities
- Support commercial real estate acquisitions, dispositions, and financings, including closings and post-closing matters
- Draft, review, and negotiate real estate transaction documents, including purchase and sale agreements, loan documents, joint venture agreements, and related ancillary agreements
- Advise investment and asset management teams on deal structure and transactional risk across both debt and equity investments
- Coordinate with outside counsel on transactions, due diligence, and title matters
- Provide ongoing legal support for portfolio management activities and operational issues related to owned assets
- Assist with general corporate legal matters as needed within the RIA structure
Qualifications
- JD from an accredited law school and active bar membership in at least one U.S. jurisdiction
- Minimum of 3 years of experience advising on commercial real estate transactions and closings
- Demonstrated experience with commercial real estate debt and/or equity transactions
- Strong understanding of transaction processes, including due diligence and closing mechanics
- Experience in a law firm and/or in-house environment supporting real estate investments
- Ability to work collaboratively in a fast-paced, deal-driven environment
