Securities Paralegal

Position Overview:

We are seeking an experienced and detail-oriented In-House Paralegal to join our Legal team with a primary focus on corporate securities compliance, corporate governance, and public company reporting obligations. This individual will play a critical role in supporting the Legal Department's corporate functions and ensuring compliance with applicable federal and state securities laws, stock exchange requirements, and internal governance policies.

Key Responsibilities:

• Securities Compliance & Filings:
• Assist with the preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, Section 16 filings (Forms 3, 4, and 5), and proxy statements.
• Help manage compliance with NASDAQ/NYSE listing requirements and disclosure obligations.
• Coordinate with internal stakeholders and outside counsel regarding securities-related filings and regulatory matters.
• Corporate Governance:
• Support the preparation of Board of Directors and committee meeting materials, minutes, resolutions, and consents.
• Maintain corporate records, governance documents, and charters.
• Assist in managing the corporate calendar and tracking governance deadlines and activities.
• Subsidiary Management:
• Maintain entity records, filings, and corporate documents for domestic and international subsidiaries.
• Assist in the formation and dissolution of legal entities, and ensure compliance with local corporate requirements.
• Equity Plan Administration Support:
• Partner with stock administration and finance teams to support equity transactions and maintain accurate records.
• Assist in preparation of equity-related reports for SEC filings and internal reporting.
• Cross-Functional Collaboration:
• Work closely with Finance, Investor Relations, HR, and Compliance to support internal corporate initiatives and transactions.
• Liaise with external counsel and service providers to ensure efficient corporate legal operations.

Qualifications:

• Education: Bachelor's degree required; Paralegal Certificate from an ABA-approved program preferred.
• Experience:
• Minimum of 5 years of relevant in-house or law firm paralegal experience with a focus on corporate governance and public company securities matters.
• Experience supporting a public company or working with public company clients is strongly preferred.
• Skills:
• Strong understanding of SEC regulations, corporate governance practices, and securities law.
• High proficiency in MS Office (Word, Excel, PowerPoint) and familiarity with EDGAR, Workiva/Wdesk, or similar platforms.
• Exceptional organizational skills and attention to detail.
• Ability to handle multiple projects and work independently in a fast-paced environment.
