About the Opportunity
An established investment management firm is seeking a Private Funds Counsel to join its growing legal team in Charlotte, NC. This is a highly visible role supporting a sophisticated investment platform and working closely with senior leadership across the organization.

Key Responsibilities
- Lead the legal review, analysis, negotiation, and execution of private fund investment documentation, including limited partnership agreements (LPAs), subscription agreements, side letters, and related documentation.
- Partner closely with investment, operations, compliance, and investor relations teams to support fund investments and strategic initiatives.
- Advise business stakeholders on legal and regulatory matters related to private funds and investment management activities.
- Coordinate with and manage outside counsel on transaction execution and ongoing legal matters.
- Assist with fund structuring, governance, and lifecycle management matters as needed.
- Support the development and enhancement of legal processes, policies, and best practices across the organization.
- Provide practical, business-oriented legal advice in a fast-paced and collaborative environment.
Qualifications
- J.D. from an accredited law school and active bar membership in good standing.
- Minimum of 5 years of legal experience focused on private funds, fund formation, investment management, asset management, or related areas.
- Experience reviewing and negotiating LPAs, subscription agreements, side letters, and other investment-related documentation.
- Prior law firm or in-house investment management experience preferred.
- Strong drafting, negotiation, and communication skills.
- Ability to balance legal risk with business objectives and work effectively across multiple stakeholders.
