M&A / Corporate Securities Associate

I am partnering with a top national law firm on a confidential search for an experienced M&A / Corporate Securities Associate to join their highly sophisticated and growing Corporate practice. This is an exceptional opportunity to work with a premier team advising both public and private companies, private equity sponsors, and emerging growth clients on complex transactions across a broad range of industries.

Key Responsibilities

  • Represent public and private companies in mergers, acquisitions, divestitures, joint ventures, and strategic investments.
  • Draft, review, and negotiate key transactional documents, including purchase agreements, merger agreements, shareholder agreements, and ancillary documents.
  • Advise clients on corporate governance, securities law compliance, and general corporate matters.
  • Assist with '33 and '34 Act filings, including registration statements, periodic reporting, and disclosure matters (if applicable).
  • Support private equity firms and portfolio companies throughout the life cycle of their investments.
  • Manage and guide due diligence processes and coordinate with tax, employment, IP, and other specialists.
  • Provide efficient, business‑oriented counsel in fast‑paced, deal‑driven environments.

Qualifications

  • 2-6+ years of experience in corporate transactional work at a reputable law firm (AmLaw or strong regional firm preferred).
  • Strong background in M&A, corporate governance, and/or securities law.
  • Experience with private equity transactions is a plus but not required.
  • Excellent drafting, analytical, and negotiation skills.
  • Ability to manage multiple workstreams and collaborate effectively with partners and clients.
  • Strong academic credentials from a respected law school.
  • Active membership in good standing with at least one U.S. state bar.
