M&A Attorney
Overview:
I am partnered with a Healthcare Organization in Miami, FL that is backed by private equity and rapidly expanding. They are looking to expand their legal team and add a Mergers & Acquisitions Attorney with specialized experience in healthcare transactions, particularly within the physician practice space.
Key Responsibilities:
- Lead and manage all legal aspects of M&A transactions involving physician practices, including due diligence, structuring, drafting, and negotiation.
- Draft and review a wide range of transactional documents, including purchase agreements, operating agreements, employment agreements, and ancillary documents.
- Advise clients on federal and state healthcare regulations, including Stark Law, Anti-Kickback Statute, HIPAA, and Florida-specific healthcare laws.
- Collaborate with internal and external stakeholders including clients, consultants, and regulatory bodies to ensure compliance and successful deal execution.
- Conduct risk assessments and provide strategic legal counsel throughout the transaction lifecycle.
- Stay current on industry trends, legal developments, and regulatory changes affecting healthcare M&A.
Qualifications:
- J.D. from an accredited law school
- 5+ years of experience in M&A law, with a strong emphasis on healthcare transactions.
- Demonstrated experience handling deals involving physician groups, MSOs, or other healthcare service providers.
- Deep knowledge of healthcare regulatory frameworks and compliance issues.
- Exceptional drafting, negotiation, and communication skills.
- Ability to manage multiple transactions and deadlines in a fast-paced environment.
