This prestigious organization is seeking an experienced Transactional Attorney for their Investment Team. This is an exciting opportunity to join a prestigious and highly regarded firm recognized for its leadership in investment law, corporate governance, and high-stakes transactions. The firm primarily represents capital providers in their debt and equity investment activities, including lenders, alternative investment vehicles, and private equity fund investor.
You will have the opportunity to work on complex investment transactions across a variety of industries, collaborating with a high-performing team of legal professionals. Key Responsibilities:
- Lead and manage all aspects of investment transactions, from due diligence and structuring to drafting and negotiating transaction documents, and post-closing integration.
- Advise lenders, alternative investment vehicles, private equity fund investors, and portfolio companies on debt and equity investments, acquisitions, sell-side transactions, and financing activities.
- Work across the capital structure, providing legal support for both equity and debt investors in a variety of deal types, including control and growth equity investments.
- Stay updated on developments in investment law, securities regulations, and other relevant areas, delivering forward-thinking solutions to keep clients ahead of industry trends.
- Collaborate with clients to strategize on risk management, regulatory compliance, and the structuring of their investment activities.
Qualifications:
- 2-6+ years of transactional experience, ideally in finance or corporate transactions.
- Law firm experience is required, with a proven ability to manage all aspects of investment transactions, from due diligence through closing and post-closing matters.
- Strong understanding of federal, state, and international securities regulations, investment funds, antitrust laws, and corporate governance.
- Exceptional legal writing, research, and negotiation skills, with the ability to draft clear, precise documents such as transaction agreements, memoranda, and client communications.
