International Private Equity Firm

Overview
An international private equity firm is seeking a high-calibre Company Secretary to join its Hong Kong office. This role will support the General Counsel on a broad range of corporate governance, statutory compliance, and entity management matters across the firm's regional and global portfolio. The position offers exposure to cross-border transactions and a dynamic, fast-paced investment environment.
The firm welcomes candidates coming from private equity or asset management firms, law firms, or large multinational conglomerates with strong company secretarial and compliance experience.
Key Responsibilities
Corporate Governance & Company Secretarial
- Manage statutory filings and corporate records for the firm's Hong Kong entity and regional investment entities.
- Organise and prepare board meetings, resolutions, agendas, minutes, and annual returns.
- Maintain accurate corporate registers and ensure compliance with Companies Ordinance requirements.
- Support corporate structuring, restructuring, and group entity changes.
Compliance & Regulatory Filings
- Prepare and file regulatory submissions with SFC, Registry, and other relevant authorities.
- Assist the GC with compliance monitoring, internal policies, KYC/AML documentation, and risk controls.
- Coordinate with external counsel on regulatory filings, ad hoc legal matters, and transactions.
Stakeholder Management
- Act as a key liaison between management, external advisors, auditors, and regulators.
- Partner with deal teams and finance teams on entity lifecycle events, from formation to dissolution.
Corporate Documentation & Administration
- Maintain corporate documentation in accordance with internal policies and international best practices.
- Support the GC on ad hoc legal, secretarial, and administrative matters as required.
Qualifications & Experience
- Degree holder in Law, Corporate Governance, Business, or a related discipline.
- HKICS/ICSA qualification preferred.
- 5-10 years' relevant experience from PE/asset management, law firm, or multinational conglomerate.
- Solid understanding of Hong Kong company law and regulatory requirements; regional exposure a plus.
- Strong organisational skills, attention to detail, and ability to manage multiple deadlines.
- Proactive, mature, and able to work independently in a lean team environment.
