This role offers broad exposure across the investment lifecycle, working closely with investment, capital markets, and asset management teams.
Position Overview
The Associate General Counsel will provide legal support across a range of commercial real estate transactions and financing activities, with a particular focus on structured finance, commercial lending, and back-leverage arrangements. This individual will partner closely with senior leadership to support deal execution, mitigate risk, and drive strategic initiatives.
Key Responsibilities
- Provide legal counsel on commercial real estate transactions, including acquisitions, dispositions, and financings [Associate...ional REIT | Word]
- Draft, review, and negotiate loan agreements, credit facilities, and related structured finance documentation (including back-leveraged structures)
- Support commercial lending activities, including origination, underwriting, and closing of debt investments
- Advise on complex financing structures, including warehouse lines, repurchase facilities, and securitized products
- Conduct legal due diligence and identify key transaction risks across investments and financings [Associate...ional REIT | Word]
- Partner with internal teams (investment, capital markets, asset management) on transaction execution and portfolio management
- Coordinate with and manage outside counsel on specialized matters
- Monitor and advise on regulatory considerations impacting investment adviser and real estate lending activities
Qualifications
- J.D. from an accredited law school and active bar membership
- Minimum of 3+ years of legal experience
- Experience in structured finance, commercial lending, real estate finance, or back-leveraged transactions
- Prior experience at a law firm or in-house with a financial institution, credit platform, or real estate investment firm preferred
- Strong drafting and negotiation skills across financing and transactional documents
- Ability to operate in a fast-paced, deal-oriented environment
