Senior Funds Counsel

Our client, a rapidly scaling crypto hedge fund with a global footprint, is seeking an experienced Funds Lawyer to join as their sole in‑house legal counsel. This is a high‑impact, strategic role for a lawyer who wants to work at the intersection of alternative investments and digital assets, while also taking on a broad range of in‑house responsibilities across the business.

You'll be the go‑to legal advisor for fund formation, regulatory matters, and investor work, while also supporting leadership on general legal issues, commercial matters, and litigation strategy.

Responsibilities

  • Funds & Regulatory
    • Lead on the formation, structuring, launch, and ongoing operation of the firm's crypto-focused funds.
    • Draft, negotiate, and maintain fund documentation, including offering materials, subscription agreements, side letters, and investor communications.
    • Advise on cross‑border regulatory matters across the UK, EU, and US (AIFMD, FCA regimes, SEC/CFTC), coordinating with external counsel where appropriate.
    • Support investor onboarding, fund governance, and ongoing regulatory reporting requirements.
    • Review marketing and fundraising materials to ensure compliance with global distribution rules.
  • Additional
    • Provide guidance on a broad range of commercial, corporate, and operational agreements (e.g., vendor contracts, NDAs, technology and trading agreements).
    • Manage disputes and litigation risk, working closely with external counsel on strategy, response, and resolution.
    • Advise leadership on business initiatives, product launches, and digital asset‑related legal risk.
    • Help build and improve internal legal processes, templates, and frameworks.
    • Partner with compliance, risk, and operations teams to ensure cohesive internal alignment.

Required Qualifications

  • Qualified lawyer in a European jurisdiction (EU member state or equivalent qualification).
  • 5-10+ years' experience in private funds, asset management, investment management, or alternative funds.
  • Comfortable working across multi‑jurisdictional regulatory regimes.
  • Experience handling general in‑house matters such as commercial contracts, disputes, and litigation management.
  • Exposure to crypto, digital assets, or fintech is beneficial but not required.
  • Strong communication skills, with the ability to translate complex legal issues for non‑legal stakeholders.
  • Enjoys working in a fast‑moving, entrepreneurial environment with broad responsibility.
