- Advise on secured lending transactions, including bilateral and syndicated credit facilities, asset-based loans, cash flow loans, acquisition finance, and refinancings
- Draft, review, and negotiate loan documentation, including: Credit agreements, Security agreements, Guaranties, Intercreditor agreements, Pledge agreements, Collateral assignments, Subordination agreements
- Provide legal counsel regarding perfection and enforcement of security interests under the UCC and other applicable laws
- Support underwriting, portfolio management, workout, and restructuring teams on lending matters
- Analyze collateral structures and legal risks associated with complex financing transactions
- Coordinate with outside counsel and manage transaction execution from origination through closing
- Advise internal stakeholders on regulatory, compliance, and risk management considerations impacting lending activities
- Assist with amendments, waivers, forbearance agreements, and distressed debt situations
- Develop and maintain form documentation, legal policies, and transaction processes
- Monitor legal and regulatory developments affecting commercial lending and secured finance markets
- J.D. from an accredited law school.
- Licensed and in good standing in at least one U.S. jurisdiction.
- 4+ years of experience in secured lending, commercial finance, banking, or private credit transactions.
- Experience gained at a leading law firm or within a financial institution, private credit fund, bank, or specialty finance company
- Experience negotiating complex financing transactions with minimal supervision
- Strong drafting, analytical, and problem-solving skills
- Ability to manage multiple transactions in a fast-paced environment
